SheZoom, Inc. Terms of Service

Effective February 7, 2008

PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

SheZoom, Inc. ("SheZoom" or "we") is an online service that allows Users to create, post and share content and socially interact with each other in many ways. SheZoom Users can upload videos, browse SheZoom content, view each others' profiles or channels, communicate with old friends and meet new friends on the service, share content, create and participate in groups, post comments, and describe their interests, among other activities. The services offered by SheZoom include the SheZoom.com website (collectively, including all Content (defined below) available through the SheZoom domain name, the "SheZoom Website", or "Website"), and any other features, Content, or applications offered from time to time by SheZoom (collectively, the "SheZoom Services"). The SheZoom Services are hosted in the United States.

These terms and conditions ("Terms of Service") set forth the legally binding terms for your use of the SheZoom Services. By using the SheZoom Services, you agree to be bound by these Terms of Service, whether you are a "Visitor" (which means that you simply browse the SheZoom Website) or you are a "Member" (which means that you have registered with SheZoom). The term "User" refers to a Visitor or a Member. You are only authorized to use the SheZoom Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to these Terms of Service. Please read these Terms of Service carefully and save it. If you do not agree with it, you should leave the SheZoom Website and discontinue use of the SheZoom Services immediately. If you wish to become a Member, upload videos, communicate with other Members and make use of the SheZoom Services, you must read these Terms of Service and indicate your acceptance during the registration process.

Please choose carefully the information you post on SheZoom and that you provide to other Users. Your SheZoom profile and any postings on SheZoom may not include the following items: telephone numbers, street addresses, last names, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other SheZoom Members (for instance, in their profiles or postings) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and SheZoom assumes no responsibility or liability for this material. If you become aware of misuse of the SheZoom Services by any person, please contact SheZoom at TOS@shezoom.com or click on the "Flag As Inappropriate" link next to the video player on any SheZoom page that contains a video player.

Terms of Use

Your Acceptance
By using and/or visiting this Website, you signify your agreement to (1) these Terms of Service, and (2) SheZoom's Privacy Policy , found at www.shezoom.com/privacypolicy, through a link at the bottom of every page on the SheZoom site, and incorporated herein by reference. If you do not agree to any of these terms or the SheZoom Privacy Policy please do not use the SheZoom Website.

Although we may attempt to notify you when major changes are made to these Terms of Service, you should periodically review the most up-to-date version which will always be posted at www.shezoom.com/terms. SheZoom may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits.

SheZoom Website
These Terms of Service apply to all Users of the SheZoom Website, including Users who are also contributors of video Content, information, and other materials or services on the Website. The SheZoom Website includes all aspects of SheZoom, including but not limited to SheZoom channels and the SheZoom "Embeddable Player."

The SheZoom Website may contain links to third party websites that are not owned or controlled by SheZoom. SheZoom has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites, including privacy and data gathering practices. In addition, SheZoom will not and cannot censor or edit the content of any third-party site. By using the Website, you expressly relieve and release SheZoom from any and all liability arising from your use of any third party website.

Accordingly, we encourage you to be aware when you leave the SheZoom Website and to read the terms and conditions and privacy policy of each other website that you visit. Upon leaving the SheZoom Website these Terms of Service shall no longer govern.

SheZoom Accounts
In order to access some features of the Website, you will have to create a SheZoom account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify SheZoom immediately of any breach of security or unauthorized use of your account.

Although SheZoom will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of SheZoom or others due to such unauthorized use.

General Terms

Eligibility
Membership in the Service is void where prohibited. This Website is intended solely for Users who are thirteen (13) years of age or older. Any registration by, use of or access to the Site by anyone under 13 is unauthorized, unlicensed and in violation of these Terms of Use. By using the Service or the Site, you represent and warrant that you are 13 or older and that you agree to abide by all of the terms and conditions of these Terms of Service. We recommend that minors over the age of 13 ask their parents for permission before sending any information about themselves to anyone over the Internet.

Term
This Agreement shall remain in full force and effect while you use the SheZoom Services or are a Member. You may terminate your membership at any time, for any reason, by following the instructions on the My Account page. SheZoom may terminate your membership at any time, without warning. Even after Membership is terminated, these Terms of Service will remain in effect.

Fees
You acknowledge that SheZoom reserves the right to charge for the SheZoom Services and to change its fees from time to time in its discretion. If SheZoom terminates your Membership because you have breached this Terms of Service Agreement, you shall not be entitled to a refund of any unused portion of subscription fees.

Password
When you sign up to become a member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another member at any time or to disclose your password to any third party. You agree to notify SheZoom immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

Non-commercial Use by Members
The SheZoom Services are for the personal use of Users only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by SheZoom. Illegal and/or unauthorized use of the SheZoom Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the SheZoom Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the SheZoom Services.

General Use of the Website -- Permissions and Restrictions

SheZoom hereby grants you permission to access and use the Website as set forth in these Terms of Service, provided that:

You agree not to distribute in any medium any part of the Website, including but not limited to User Submissions (defined below), without SheZoom's prior written authorization.

You agree not to alter or modify any part of the Website, including but not limited to SheZoom's Embeddable Player or any of its related technologies.

You agree not to access User Submissions (defined below) or SheZoom Content through any technology or means other than the video playback pages of the Website itself, the SheZoom Embeddable Player, or other explicitly authorized means SheZoom may designate.

You agree not to use the Website, including the SheZoom Embeddable Player for any commercial use, without the prior written authorization of SheZoom. Prohibited commercial uses include any of the following actions taken without SheZoom's express approval:

  • sale of access to the Website or its related services (such as the Embeddable Player) on another website;
  • use of the Website or its related services (such as the Embeddable Player), for the primary purpose of gaining advertising or subscription revenue;
  • the sale of advertising, on the SheZoom website or any third-party website, targeted to the Content of specific User Submissions or SheZoom Content;
  • and any use of the Website or its related services (such as the Embeddable player) that SheZoom finds, in its sole discretion, to use SheZoom's resources or User Submissions with the effect of competing with or displacing the market for SheZoom, SheZoom Content, or its User Submissions.

Prohibited commercial uses DO NOT include:

  • uploading an original video to SheZoom, or maintaining an original channel on SheZoom, to promote your business or artistic enterprise;
  • using the Embeddable Player to show SheZoom videos on an ad-enabled blog or website, provided the primary purpose of using the Embeddable Player is not to gain advertising revenue or compete with SheZoom;
  • any use that SheZoom expressly authorizes in writing.

The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the SheZoom Services. SheZoom reserves the right to investigate and take appropriate legal action against anyone who, in SheZoom's sole discretion, violates this provision, including without limitation, removing the offending communication from the SheZoom Services and terminating the Membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of SheZoom:

  • is patently offensive and promotes racism, bigotry, misogyny , hatred or physical harm of any kind against any group or individual;
  • harasses or advocates harassment of another person;
  • exploits people in a sexual or violent manner;
  • contains nudity, violence, or offensive subject matter or contains a link to an adult website;
  • solicits personal information from anyone under 18;
  • provides any telephone numbers, street addresses, last names, URLs or email addresses;
  • promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
  • promotes an illegal or unauthorized copy of another person's or entity's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
  • involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
  • contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
  • furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
  • solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
  • involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
  • includes a photograph of another person that you have posted without that person's consent;
  • uses sexually suggestive imagery or any other unfair, misleading or deceptive Content intended to draw traffic to the profile.

The following is a partial list of the kind of activity that is illegal or prohibited on the SheZoom Website and through your use of the SheZoom Services. SheZoom reserves the right to investigate and take appropriate legal action against anyone who, in SheZoom's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

  • criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
  • advertising to, or solicitation of, any User to buy or sell any products or services through the SheZoom Services. You may not transmit any chain letters or junk email to other Users. It is also a violation of these rules to use any information obtained from the SheZoom Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, SheZoom reserves the right to restrict the number of emails or private messages sent within the SheZoom Services which a Member may send to other Members in any 24-hour period to a number which SheZoom deems appropriate in its sole discretion. If you breach these Terms of Service and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the SheZoom Services, you acknowledge that you will have caused substantial harm to SheZoom but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay SheZoom $50 for each such unsolicited email or other unsolicited communication you send through the SheZoom Services;
  • covering or obscuring the banner advertisements on your personal profile page, or any SheZoom page via HTML/CSS or any other means;
  • any automated use of the system, such as using scripts to add friends or send comments or messages;
  • interfering with, disrupting, or creating an undue burden on the SheZoom Services or the networks or services connected to the SheZoom Services;
  • attempting to impersonate another member or person;
  • using the account, username, or password of another member at any time or disclosing your password to any third party or permitting any third party to access your account;
  • selling or otherwise transferring your profile;
  • using any information obtained from the SheZoom Services in order to harass, abuse, or harm another person;
  • displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the SheZoom Services on behalf of that person, such as placing commercial Content on your profile, posting blogs or bulletins with a commercial purpose, or sending private messages with a commercial purpose; or
  • using the SheZoom Services in a manner inconsistent with any and all applicable laws and regulations.

If you use the SheZoom Embeddable Player on your website, you must include a prominent link back to the SheZoom website on the pages containing the Embeddable Player and you may not modify, build upon, or block any portion of the Embeddable Player in any way.

You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Website in a manner that sends more request messages to the SheZoom servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, SheZoom grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. SheZoom reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Website, nor to use the communication systems provided by the Website (e.g. comments, private messaging) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any Users of the Website with respect to their User Submissions.

You will otherwise comply with the terms and conditions of these Terms of Service and all applicable local, national, and international laws and regulations.

SheZoom reserves the right to discontinue any aspect of the SheZoom Website at any time.

Your Use of Content on the Site

In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of Content on the SheZoom Website.

The Content on the SheZoom Website, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to SheZoom, subject to copyright and other intellectual property rights under the law. Content on the Website is provided to you AS IS for your information and personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. SheZoom reserves all rights not expressly granted in and to the Website and the Content. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the SheZoom Website or the SheZoom Services, provided by you to Company are non-confidential and shall become the sole property of SheZoom. SheZoom shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these User Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You may access User Submissions solely:

  • for your information and personal use;
  • as intended through the normal functionality of the SheZoom Service; and
  • for Streaming.

"Streaming" means a contemporaneous digital transmission of an audiovisual work via the Internet from the SheZoom Service to a User's device in such a manner that the data is intended for real-time viewing and not intended to be copied, stored, permanently downloaded, or redistributed by the User. Accessing User Videos for any purpose or in any manner other than Streaming is expressly prohibited. User Videos are made available "as is."

User Comments are made available to you for your information and personal use solely as intended through the normal functionality of the SheZoom Service. User Comments are made available "as is", and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, downloaded, or otherwise exploited in any manner not intended by the normal functionality of the SheZoom Service or otherwise as prohibited under these Terms of Service.

You may access SheZoom Content, User Submissions and other Content only as permitted under these Terms of Service. SheZoom reserves all rights not expressly granted in and to the SheZoom Content and the SheZoom Service.

You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Website for any commercial purposes.

You agree not to circumvent, disable or otherwise interfere with security-related features of the SheZoom Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the SheZoom Website or the Content therein.

You understand that when using the SheZoom Website, you will be exposed to User Submissions from a variety of sources, and that SheZoom is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against SheZoom with respect thereto, and agree to indemnify and hold SheZoom, its owners/operators, officers, agents, directors, employees, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.

Your User Submissions and Conduct
As a SheZoom account holder you may submit video Content ("User Videos") and textual Content ("User Comments"). User Videos and User Comments are collectively referred to as "User Submissions." You understand that whether or not such User Submissions are published, SheZoom does not guarantee any confidentiality with respect to any User Submissions.

You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize SheZoom to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.

For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to SheZoom, you hereby grant SheZoom a worldwide, non-exclusive, fully-paid and royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the SheZoom Website and SheZoom's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the SheZoom Website (and derivative works thereof) in any media formats and through any media channels. Any derivative works created using any User Submissions shall become the sole property of SheZoom, to be used as SheZoom sees fit and, in the event the User removes the original User Submission from the SheZoom Website, SheZoom shall be free to continue using the deriviate work in any manner it sees fit, in its sole and absolute discretion. You also hereby grant each User of the SheZoom Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The above licenses granted by you in User Videos terminate within a commercially reasonable time after you remove or delete your User Videos from the SheZoom Service. You understand and agree, however, that SheZoom may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The restriction set forth in the preceding sentence shall not apply to any derivative works created by SheZoom. The above licenses granted by you in User Comments are perpetual and irrevocable. Without this license, SheZoom would be unable to provide the SheZoom Services. For example, without the right to modify member Content, SheZoom would not be able to digitally compress video or music files that Members submit or otherwise format Content to satisfy technical requirements, and without the right to publicly perform member Content, SheZoom could not allow Users to view or listen to video and music posted by members. The license you grant to SheZoom is non-exclusive (meaning you are free to license your Content to anyone else in addition to SheZoom), fully-paid and royalty-free (meaning that SheZoom is not required to pay you for the use on the SheZoom Services of the Content that you post), sublicensable (so that SheZoom is able to use its affiliates and subcontractors such as Internet Content delivery networks to provide the SheZoom Services), and worldwide (because the Internet and the SheZoom Services are global in reach).

In connection with User Submissions, you may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights and have permission to grant SheZoom all of the license rights granted herein. It is the policy of SheZoom to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of proper notification to SheZoom by the copyright owner or the copyright owner's legal agent. In the event of any dispute regarding ownership of the rights described in the section, please see Section 9 hereof for SheZoom's procedure for resolution of such disputes.

SheZoom does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and SheZoom expressly disclaims any and all liability in connection with User Submissions. SheZoom does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and SheZoom will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. SheZoom may delete any Content that in the sole judgment of SheZoom violates these Terms of Service or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. SheZoom assumes no responsibility for monitoring the SheZoom Services for inappropriate Content or conduct. If at any time SheZoom chooses, in its sole discretion, to monitor the SheZoom Services, SheZoom nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content. SheZoom reserves the right to remove Content and User Submissions without prior notice.

You are solely responsible for your interactions with other SheZoom Members. SheZoom reserves the right, but has no obligation, to monitor disputes between you and other Members.

Trademarks
SheZoom, Inc. and SheZoom and other graphics, logos, designs, page headers, button icons, scripts and service names are trademarks, trade names or trade dress of SheZoom in the U.S. and/or other countries for which applications are pending. SheZoom's trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of SheZoom.

Mobile Services
The SheZoom Services may include certain services that may be available via your mobile phone, including (i) the ability to upload Content to SheZoom via your mobile phone ("Mobile Uploads"), (ii) the ability to receive and reply to SheZoom messages, (iii) the ability to browse SheZoom from your mobile phone ("Mobile Web"), and (iv) the ability to access certain SheZoom features through a mobile application you have downloaded and installed on your mobile phone ("Mobile Client") (collectively the "Mobile Services"). We do not charge for these Mobile Services. However, your carrier's normal messaging, data and other rates and fees will still apply. You should check with your carrier to find out what plans are available and how much they cost. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. Therefore, you should check with your carrier to find out if the Mobile Services are available for your mobile devices, and what restrictions, if any, may be applicable to your use of such Mobile Services. By using the Mobile Services, you agree that we may communicate with you regarding SheZoom and other entities by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us.

Account Termination Policy
SheZoom will terminate a User's access to its Website if, under appropriate circumstances, they are determined to be a repeat infringer of this Terms of Service, the Privacy Policy or any other policy of SheZoom.

SheZoom reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. SheZoom may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.

Digital Millennium Copyright Act
If you are a copyright owner or an agent thereof and believe that any User Submission or other Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
  • Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

For clarity, only DMCA notices should go to the Copyright Agent; any other feedback, comments, requests for technical support, and other communications should be directed to SheZoom customer service through support@shezoom.com. You acknowledge that if you fail to comply with all of the requirements of this Section, your DMCA notice may not be valid.

Counter-Notice

Assignment
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by SheZoom without restriction.

No Software may be downloaded from the SheZoom Services or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.

Governing Law; Venue and Jurisdiction
